Liontown Resources Limited announced that it has completed negotiations with electric vehicle manufacturer Tesla, Inc. (Tesla) and executed the definitive full-form Offtake Agreement for the supply of spodumene concentrate from its 100%-owned Kathleen Valley Lithium Project (Kathleen Valley). Liontown is to supply up to 150,000 dry metric tonnes (DMT) per annum of spodumene concentrate, representing approximately one-third of the Project's start-up SC6.0 production capacity of approximately 500ktpa. Supply is expected to commence in 2024 and the Offtake Agreement is conditional upon Liontown commencing commercial production at the Kathleen Valley Lithium Project by no later than 1 December 2025. The Offtake Agreement with Tesla is the second definitive agreement secured for Kathleen Valley following the foundational offtake agreement with LG Energy Solutions. Together with the LG Energy Solutions agreement, this means that up to 60% of Liontown's planned production is now covered by long-term agreements with high-quality customers. The Company continues to receive very strong interest from a range of parties for the remaining third offtake which will, once completed, result in approximately 85% of the production from Kathleen Valley contracted. The remaining production will be sold on spot or Liontown has an option to sell to existing customers.

His work has seen him play a key role with projects such as Sandfire Resources' DeGrussa Copper Mine in WA, the Bellevue Gold Project, Independence Group's Nova Nickel Project and performing due diligence on Saracen Mineral's acquisition of a 50% stake in the Super Pit gold mine in WA. Following his commencement, it is envisaged that Mr. McLeay will also be appointed to one or more of the sub-committees of the Board. The pilot scale testwork program successfully produced premium +6% spodumene (Li2O) concentrate and tantalum concentrate, supporting off-take discussions and further supporting the potential to develop a leading second-generation lithium-tantalum mining and processing operation at Kathleen Valley. For the testwork program, the Company collected 5 tonnes of representative mineralised pegmatite from the Company's core inventory at Kathleen Valley. Samples were selected to reflect variation in both depth and spatial distribution and composited in line with the mining zones identified as part of the recently published Definitive Feasibility Study (DFS). The purpose of the bulk sample processing work was to produce representative high-grade +6% Li2O KV concentrate and sufficient Tantalum Ta2O5 concentrate to support current off-take negotiations and to provide feedstock for the planned Lithium Hydroxide hydrometallurgical testwork program. The downstream hydrometallurgical testwork is scheduled to commence in December as part of the Company's Downstream Pre-Feasibility Study (DPFS). The flowsheet adopted was based on the results of the extensive SC6.0 DFS metallurgical testwork program. The testwork batch flowsheet included: · Crushing; · Milling; · Magnetic Separation & Tabling to produce a Tantalum Concentrate; ·Deslime and Conditioning of the Flotation Feed; · Whole of ore Flotation; and · Vacuum Filtration of Li2O Concentrate. The successful completion of the large-scale test work program marks a crucial step in advancing the Kathleen Valley Project towards development. Representative diamond core was processed at ALS using their modular block/s of suitably scaled equipment.

The DSS has been revised following the completion of the Definitive Feasibility Study (DFS) for 6% Li2O concentrate (SC6.0) production at KV and the development of a long-term strategic growth plan for the KV Project. The DFS, included an Ore Reserve of 68.5Mt @ 1.34% Li2O and 120ppm Ta2O5 and a Production Inventory of 82.7Mt @ 1.30% Li2O & 117ppm Ta2O5, which underpins a 4Mtpa mining and processing operation over a 23-year mine life. The updated DSS strongly reinforces the exceptional financial and economic returns that would be generated by the addition of an on-site, downstream processing plant to produce a battery-grade pre-cursor product. In parallel with the KV DFS, Liontown engaged Lycopodium Minerals Pty Ltd. (Lycopodium) to update a previous scoping study published in October 2020. The updated DSS evaluates the impact of integrating the mine, process plant and a downstream refinery, that would be built via a staged approach (Integrated Project) at Kathleen Valley, and produce battery-grade LHM incorporating SC6.0 production envisaged as part of the DFS. Lycopodium has re-validated scoping-level operating and capital cost estimates (+/-30% accuracy) for scalable downstream facilities built in stages (on a per train basis) capable of processing feed of up to 570ktpa SC6.0 based on three LHM trains. The refinery will be capable of ultimately producing 86ktpa of battery-grade LHM on-site at Kathleen Valley. It is anticipated that offtake contracts would commence as SC6.0 only with the potential to shift to LHM as the expandable downstream capability is developed. The balance of SC6.0 produced from the project would be sold on spot markets via offtake agreements given that the projected SC6.0 output exceeds the envisaged ultimate refining capacity. The DSS has provided a strong basis for a Downstream Pre-Feasibility Study (DPFS) which will further investigate the robust fundamentals and compelling economics of a downstream refinery at Kathleen Valley. The Integrated Project has the potential to make Liontown the 3rd largest supplier of LHM inthe world, based on 2031 Roskill LHM projections.

Liontown Resources Limited reported further encouraging results from recent geochemical sampling at the Koojan JV Project, located ~150km north-northeast of Perth in Western Australia. Liontown has entered into an agreement with Lachlan Star Limited giving it the right to earn a 51% interest in the Koojan Project. There had been no systematic exploration of the area prior to Liontown commencing its work program. Since commencing work on the Koojan JV Project in early 2021, Liontown has completed two phases of geochemical sampling comprising: An initial phase of first-pass sampling totaling 2,214 samples; and A second phase of in-fill and extensional sampling totaling 1,649 samples. The samples were largely collected using shallow (<1m) auger sampling techniques with soils collected in less accessible areas. First-pass sample spacing varied from 200 x 50m up to 400 x 400m, with in-fill samples collected on 50 x 50m and 100 x 100m grids. Further to the announcement of 6 May 2021, assays have now been received for all samples with several new anomalies being defined and the previously defined Mallory and Bourbana targets enhanced and expanded. The Mallory PGE-gold anomaly has now been defined over a strike length of 2km with PGE values >100ppb (0.1g/t) recorded coincident with a strongly anomalous, NNW/SSE trending, coherent gold trend. Government geological mapping indicates that the underlying bedrock geology comprises poorly exposed mafic, metasedimentary and gneissic rock units. The Bourbana gold anomaly is an irregular shaped feature with multiple plus 50ppb Au peaks. The bedrock geology is obscured by shallow lateritic cover; however, the anomaly is coincident with linear magnetic highs, suggestive of the presence of iron-rich mafic units. Four other geochemically anomalous areas have also been defined which warrant further investigation. Follow-up geophysical programs including ground EM, IP and detailed aeromagnetics designed to define bedrock targets for drill testing will now be planned pending confirmation of the Koojan JV Project being part of the demerged entity proposed to be listed on the ASX.

Liontown has been actively exploring the Buldania Project since early 2018 after acquiring 100% of the rights to lithium and related metals from Avoca Resources Pty Ltd. Work by Liontown initially focused on the spodumene-bearing Anna pegmatite, partially delineated by previous nickel and gold explorers, with drilling by the Company subsequently defining a maiden Indicated and Inferred Mineral Resource Estimate (MRE) of 14.9Mt @ 0.97% Li2O and 44ppm Ta2O5, containing 144,530t of Li2O or 372,889t of lithium carbonate equivalent (LCE). A recently completed soil sampling program, comprising 1,391 samples collected on a 200 x 50m pattern, was designed to identify new drill targets with the potential to expand the resource base at Buldania. Assays have been received for all samples with the results delineating three significant, SW/NE trending soil anomalies adjacent to the Anna MRE area. The definition of multiple, parallel soil anomalies is consistent with the geological setting of the Anna mineralisation, which is hosted by a series of stacked, shallowly south-east dipping, SW/NE striking pegmatites. The soil anomalies may indicate strike extensions or repeats of the Anna pegmatites into areas largely obscured by residual soils and dense vegetation. The next phase of exploration at Buldania will comprise: Ground truthing of the soil anomalies, including geological mapping; Extension of soil sampling to the north-east of the existing anomalies; and Planning of follow-up drilling. Exploration at Buldania provides the Company with the opportunity for significant organic growth of its 100%-owned, West Australian-based lithium Resource base, which also includes the world-class Kathleen Valley Lithium-Tantalum Project where Liontown is progressing a Definitive Feasibility Study ("DFS") due for release in fourth quarter of 2021.
