Plaintiff pursues claims under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 (the “Exchange Act”). Investors are hereby notified that they have 60 days from this notice to move the Court to serve as lead plaintiff in this action. On May 3, 2022, Scorpion Capital released a research report alleging, among other things, that IonQ is a “scam built on phony statements about nearly all key aspects of the technology and business.” It further claimed that the Company reported “fictitious ‘revenue’ via sham transactions and related-party round-tripping.” The complaint filed in this class action alleges that throughout the Class Period, Defendants made materially false and/or misleading statements, as well as failed to disclose material adverse facts about the Company’s business, operations, and prospects. Specifically, Defendants failed to disclose to investors: that IonQ had not yet developed a 32-qubit quantum computer; that the Company’s 11-qubit quantum computer suffered from significant error rates, rendering it useless; that IonQ’s quantum computer is not sufficiently reliable, so it is not accessible despite being available through major cloud providers; that a significant portion of IonQ’s revenue was derived from improper round-tripping transactions with related parties; and that, as a result of the foregoing, Defendants’ positive statements about the Company’s business, operations, and prospects were materially misleading and/or lacked a reasonable basis at all relevant times.

IonQ and Hyundai Motor Company announced a new project designed to apply quantum machine learning to image classification and 3D object detection for future mobilities. Image classification and 3D object detection are foundational steps toward the next generation of mobilities, including autonomous vehicles. Together, IonQ and Hyundai will look to improve computational functionality through more efficient machine learning on quantum computers, as they can process enormous amounts of data faster and more accurately than classical systems. Using a breakthrough in encoding images into quantum states, IonQ is already well underway in classifying 43 types of road signs using IonQ’s quantum processors. The next phase will see the two companies apply IonQ’s machine learning data to Hyundai’s test environment and simulate various real-world scenarios. As part of this project, IonQ and Hyundai will look to develop quantum techniques for the broad task of 3D object detection, expanding the current work on recognizing road signs to include other objects like pedestrians or cyclists. Running object recognition tasks on IonQ’s latest quantum computer, IonQ Aria, should enable more efficient processing with lower costs, leading to the development of safer, more intelligent mobilities in the future. With 20 algorithmic qubits (#AQ), IonQ Aria is the industry’s most powerful quantum computer based on standard application-oriented industry benchmarks.

IonQ expects the key benefits of quantum computers based on barium qubits to include: Lower error rates, higher gate fidelity, and better state detection. IonQ’s quantum computers already outperform industry peers, as demonstrated in an industry study by the Quantum Economic Development-Consortium in October. IonQ expects barium qubits to improve the performance of its quantum gates and qubit measurement, leading to even more useful quantum computers; A foundation for iterable, more reliable hardware, with more uptime for customers. Barium qubits are controlled primarily with visible light—rather than ultraviolet light—allowing IonQ to build its future quantum computers with standard silicon photonics technology. Visible light devices are easier to source and more reliable than their ultraviolet equivalents. Using standard technology will allow IonQ to scale its computers and replace components more easily, providing more computing time for customers than ever before; More easily networked quantum systems. The consummation of the Merger is also subject to the satisfaction or waiver of certain customary closing conditions, including, among others, (i) expiration or termination of the applicable waiting period under the Hart- Scott- Rodino Antitrust Improvements Act and any other required regulatory approvals applicable to the transactions contemplated by the Merger Agreement and the Ancillary Agreements having been obtained, (ii) the absence of any applicable law in effect that makes the consummation of the transactions contemplated by the Merger Agreement illegal or any order in effect preventing the consummation of the transactions contemplated by the Merger Agreement, (iii) the Required approval of the stockholders of dMY III having been obtained, (iv) the dMY Stockholder Approval having been obtained, (v) effectiveness of the registration statement on Form S- 4 to be filed by dMY in connection with the Merger, no stop order having been issued by the U.S. Securities and Exchange Commissions (the "SEC") remaining in effect with respect to the registration statement, and no proceeding seeking such a stop order having been threatened or initiated by the SEC remaining pending, (vi) that the dMY has at least $5,000,001 of net tangible assets immediately after giving effect to the transactions contemplated by the Merger Agreement after the dMY Share Redemption, (vii) receipt of conditional approval for listing on the New York Stock Exchange the shares of the dMY's Class A common stock to be issued in connection with the closing of the Merger (the "Closing"), subject only to official notice of issuance, (viii) consummation of the PIPE Investment prior to or substantially concurrently with the Closing in an amount not less than $332.64 million, and (ix) the available cash being not less than $225 million, (x) The IonQ Stockholder Approval shall have been obtained and the satisfaction of customary closing conditions.
