Super Micro Computer, Inc. announced the global availability of a wide range of systems for edge computing, including the recently announced SuperEdge and a range of Intel Xeon D processor-based systems, with up to 20 cores, 25 GbE networking built-in, and a temperature operating range from -40° C to 85° C. These systems are optimized for the Intelligent Edge, where responsive systems that reduce latency are required. In addition, locating powerful AI systems closer to where data is generated reduces network traffic and lowers response time. Supermicro is introducing a selection of new systems, including updated versions of the popular IP65 Outdoor Edge system and the Supermicro Hyper-E product lines, all of which are designed with the optimal Intel Xeon CPU and various forms factors. These systems are all applications optimized for computing and inferencing at the edge and are available worldwide. Edge systems from Supermicro incorporate the latest Intel Xeon CPUs, including the Intel Xeon D family and the 3rd Gen Intel Xeon Scalable processors. As a result, Supermicro servers built with these CPUs show a performance increase over previous generations of systems, producing more work per watt of electricity. The short depth and front I/O systems are critical for edge environments where physical space may be at a premium. These systems may need to operate in facilities far away from climate-controlled data centers and without interruption. Supermicro continues to innovate with servers that can be installed in outdoor environments, including the pole-mounted IP65 server platform for 5G and the intelligent edge. Moving AI inferencing to the edge of the network allows faster decisions to be made without using valuable network bandwidth to communicate back to a remote data center.

Capitalized terms used herein but not otherwise defined have the meanings ascribed to them in the Loan Agreement. The Fourth Amendment amends the Loan Agreement to, among other things: a. reduce the size of the facility from 250 million to 200 million; b. extend the maturity date from June 30, 2021 to June 28, 2026; c. reduce the interest rate applicable to the facility from LIBOR plus 2.00% or 3.00% per annum (depending upon amount drawn under the facility) to LIBOR plus 1.375% or 1.625% per annum (depending upon amount drawn under the facility), and reduce minimum LIBOR from 1% to zero for purposes of determining interest rates; d. reduce the unused line fee from 0.375% per annum to 0.2% or 0.3% per annum (depending upon amount drawn under the facility); e. increase the maximum amount that the Company can request the facility be increased (the accordion feature) from 100 million to 150 million; f. permit liens on certain real estate financings that are secured solely by such real estate and related property; g. eliminate the debt to EBITDA test with respect to certain debt permitted to be incurred by subsidiaries that are not borrowers or guarantors under the Loan Agreement; h. reduce favorably various minimum threshold conditions related to the springing fixed charge coverage ratio financial covenant and cash dominion provision; i. reduce the availability requirements with respect to the fixed charge coverage ratio financial covenant and the dominion of funds covenant; j. modify the payment conditions the Company must satisfy to make acquisitions, capital contributions, certain loans or dividends and other distributions, as well as repay indebtedness, by reducing the availability requirements thereof; k. modify certain reporting requirements and provisions relating to field exams and appraisals; and l. add and update provisions relating to erroneous payments and LIBOR replacement mechanics.

Supermicro servers, designed with a Building Block Solutions® approach, give Supermicro a first to market advantage when incorporating new technologies. State-of-the-art accelerated computing options can be quickly integrated and tested, bringing faster and more powerful systems to demanding customers quicker than other vendors. The new NVIDIA A100 PCIe 80GB GPU will enable faster execution of AI and HPC applications, as bigger models can be stored in the GPU memory. In addition, future systems will include networking between high-performance servers with current and future InfiniBand capabilities. The GPU SuperServer SYS-420GP-TNR with dual 3rd Gen Intel Xeon Scalable processors supports up to ten single or double width GPUs, including the new NVIDIA A100 80GB PCIe GPUs. Also, the AS -4124GS-TNR server contains dual AMD EPYC 7003 processors with up to eight single or double width GPUs, with the new NVIDIA A100 80GB PCIe GPUs. These new 80GB GPUs from NVIDIA will enable more extensive data sets to be held in memory, accelerating computationally-intensive HPC and AI applications. Multiple NVIDIA A100 80GB PCIe devices can be installed in a range of Supermicro systems, allowing for flexible AI computing. By implementing NVIDIA's Multi-Instance GPU (MIG) technology, organizations can guarantee a high quality of service for single applications and as a service for multiple users concurrently.
